Terms and conditions of sale

PLEASE READ THIS DOCUMENT CAREFULLY! IT CONTAINS VERY IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, AS WELL AS LIMITATIONS AND EXCLUSIONS THAT MAY APPLY TO YOU.

NOTE: These Consumer Terms of Sale apply to direct purchases made from Coolskins by the Internet.

These terms and conditions ("Agreement") apply to your purchase of products and/or services and support ("Product") sold in the Europe by Coolskins, including its affiliates or subsidiaries. By placing your order for Product, you accept and are bound to the terms and conditions of this Agreement. If you have placed an order but do not wish to be subject to these terms and conditions, you must promptly cancel your order before it enters production and becomes non-cancellable. See contact information at the bottom of the homepage. If you return your purchase within 14 days upon reception, we'll refund your purchase price minus shipping, handling (if applicable). You may also be responsible for the cost of the return shipping back to Coolskins. See Return Policy.

THIS AGREEMENT SHALL APPLY UNLESS (I) YOU HAVE A SEPARATE PURCHASE AGREEMENT WITH COOLSKINS, IN WHICH CASE THE SEPARATE AGREEMENT SHALL GOVERN; OR (II) OTHER COONSKINS TERMS AND CONDITIONS APPLY TO THE TRANSACTION.

  1. Other Documents. This Agreement may NOT be altered, supplemented, or amended by the use of any other document(s) unless otherwise agreed to in a written agreement signed by both you and Coolskins. If you do not receive an invoice or acknowledgement in the mail, via e-mail, or with your Product, information about your purchase may be obtained by contacting your sales representative.
  2. Payment Terms; Orders; Quotes; Interest. Terms of payment are within Coolskins sole discretion, and unless otherwise agreed to by Coolskins, payment must be received by Coolskins prior to Coolskins acceptance of an order. Payment for the products will be made by credit card, wire transfer, or some other prearranged payment method unless credit terms have been agreed to by Coolskins. Invoices are due and payable within the time period noted on your invoice, measured from the date of the invoice. Coolskins may invoice parts of an order separately. Your order is subject to cancellation by Coolskins, in Coolskins sole discretion. Unless you and Coolskins have agreed to a different discount, Coolskins's standard pricing policy for Cooskins-branded products. Coolskins is not responsible for pricing, typographical, or other errors in any offer by Coolskins and reserves the right to cancel any orders arising from such errors. Invoices must be paid within 30 days of the invoice date.
  3. Shipping Charges; Taxes; Title; Risk of Loss. Shipping, handling and tax are additional unless otherwise expressly indicated at the time of sale. Title to products passes from Coolskins to Customer upon shipment to Customer. Loss or damage that occurs during shipping by a carrier selected by Coolskins is Coolskins responsibility. Loss or damage that occurs during shipping by a carrier selected by you is your responsibility. You must notify Coolskins within 14 days of the date of receiving an acknowledgement if you believe any part of your purchase is missing, wrong or damaged. Unless you provide Coolskins with a valid and correct tax exemption certificate applicable to your purchase of Product and the Product ship-to location, you are responsible for sales and other taxes associated with the order. Shipping and delivery dates are estimates only.
  4. Return Policies; Exchanges. Cooskins return policy can be found at ‘Return Policy’ and you agree to those terms. Note that under the terms of the Return Policy, not all Product may be returned. You must contact us directly before you attempt to return qualifying Product to obtain a Return Material Authorization Number for you to include with your return. You must return qualifying Product to us in its original or equivalent packaging. You are responsible for risk of loss, shipping and handling fees for returning or exchanging Product. If you fail to follow the return or exchange instructions and policies provided by Coolskins, Coolskins is not responsible for Product that is lost, damaged, modified or otherwise processed for disposal or resale. At Coolskins discretion, credit for partial returns may be less than invoice or individual component prices due to bundled or promotional pricing.
  5. Limitation of Liability. COOLSKINS DOES NOT ACCEPT LIABILITY BEYOND THE REMEDIES SET FORTH HEREIN, INCLUDING BUT NOT LIMITED TO ANY LIABILITY FOR PRODUCT NOT BEING AVAILABLE FOR USE, LOST PROFITS, LOSS OF BUSINESS OR THE PROVISION OF SERVICES AND SUPPORT. EXCEPT AS EXPRESSLY PROVIDED HEREIN, COOLSKINS WILL NOT BE LIABLE FOR ANY CONSEQUENTIAL, SPECIAL, INDIRECT, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY. YOU AGREE THAT FOR ANY LIABILITY RELATED TO THE PURCHASE OF PRODUCT, COOLSKINS IS NOT LIABLE OR RESPONSIBLE FOR ANY AMOUNT OF DAMAGES ABOVE THE AMOUNT INVOICED FOR THE APPLICABLE PRODUCT.
  6. Governing Law. THE PARTIES AGREE THAT THIS AGREEMENT, ANY SALES THERE UNDER, OR ANY CLAIM, DISPUTE OR CONTROVERSY (WHETHER IN CONTRACT, TORT, OR OTHERWISE, WHETHER PREEXISTING, PRESENT OR FUTURE, AND INCLUDING STATUTORY, CONSUMER PROTECTION, COMMON LAW, AND EQUITABLE CLAIMS) BETWEEN CUSTOMER AND COOLSKINS arising from or relating to this agreement, its interpretation, or the breach, termination or validity thereof, the relationships which result from this agreement, Coolskins advertising, or any related purchase SHALL BE GOVERNED BY THE LAWS OF THE GRAND DUCHY OF LUXEMBURG, WITHOUT REGARD TO CONFLICTS OF LAW.

Commercial Terms of Sale

Unless otherwise agreed to by Coolskins in writing, the Commercial Terms of Sale apply to direct commercial purchasers of Coolskins products and services. By placing your order, you accept and are bound to the Commercial Terms of Sale below:

  1. Your Relationship with Coolskins.
    1. Introduction. Coolskins sale of Products and Services are subject to the terms of this agreement between you ("you " or "Customer ") and Coolskins (the "Agreement "). "Customer " shall include any of your affiliates that places a Coolskins order, and "Coolskins " shall include any Coolskins affiliates with which such an order is placed. Purchases of Products or Services under this Agreement shall be solely for Customer's own internal use and not for resale purposes.
    2. Definitions. "Products " means skins and any other products provided hereunder. "Services " means any and all services provided by Coolskins mutually agreed upon with the customer.
    3. Quotes, Ordering, and Payment.

I. Payment Terms; Orders; Quotes; Interest. Your order is subject to acceptance or cancellation by Coolskins, in Coolskins sole discretion. Terms of payment are within Coolskins sole discretion, and unless otherwise agreed to by Coolskins, payment must be received by Coolskins prior to Coolskins acceptance of an order. Each accepted order will be interpreted as a single Agreement, independent of any other orders. Payment for Products and Services must be made by credit card, automated clearing house, wire transfer, electronic funds transfer or some other prearranged payment method unless credit terms have been agreed to by Coolskins. Payment to Coolskins in respect of Products and Services, as applicable, shall be made to the account indicated by Coolskins (as may be amended from time to time). Timely payment of the price and all charges is of the essence. It is the responsibility of Customer to ensure payments are authorized and approved on time to ensure receipt of payment no later than the due date; in no case shall Coolskins be responsible for ensuring such authorization or approval. In addition, Coolskins, without waiving any other rights or remedies to which it may be entitled, shall have the right to suspend or terminate any or all Services and refuse additional orders for Products from Customer until Coolskins receipt of all overdue amounts. Coolskins shall have no liability to Customer for any such suspension or termination of services or for its refusal of additional orders. Coolskins further reserves the right to seek collection of all overdue amounts (including by referral to third party collectors), plus all reasonable legal fees (including reasonable attorneys fees) and costs associated with such collection. Payment of the corresponding price and costs shall be made in the currency identified by Coolskins in its invoice. Coolskins reserves the right to change the method of delivery of all documentation, and any additional changes requested by Customer may be subject to additional charges.

II. Invoices. Invoices are due and payable within the time period noted on your invoice, or if not noted, then within 30 days, measured from the date of the invoice, subject to continuing credit approval by Coolskins, such approval may be revoked without further notice from Coolskins. Coolskins may invoice parts of an order separately or may invoice purchases of the Products and Services in one invoice to Customer. Coolskins is not responsible for pricing, typographical, or other errors in any offer, and reserves the right to cancel orders arising from such errors. Customer agrees that all invoices shall be deemed accurate unless Customer advises Coolskins in writing of a bona fide, material error within fourteen (14) days of the date of such invoice. In the event that Customer advises Coolskins of a material error, (i) payment of any amounts corrected or modified by Coolskins in writing shall be due within fourteen (14) days of such correction, and (ii) all other amounts shall be paid by Customer by the invoice due date. In the event Customer withholds payment of any invoiced amounts upon an assertion by Customer that such amounts are erroneous, and Coolskins subsequently concludes that such invoiced amounts are accurate, Customer shall pay interest on such amounts as described above from the due date for such amounts until Coolskins receipt of those amounts. In no case shall Customer be entitled to offset, defer or deduct any invoiced amounts that Coolskins determines are not erroneous following the notification process set forth above.

III. hipping Charges; Title; Risk of Loss. Taxes, shipping and handling charges are not included in Product prices unless expressly indicated at the time of sale. Title to Products passes from Coolskins to Customer upon shipment to Customer. Loss or damage that occurs during shipping by a carrier selected by Coolskins is Coolskins responsibility. Loss or damage that occurs during shipping by a carrier selected by you is your responsibility. Shipping and delivery dates are provided as estimates only. You must notify Coolskins within 14 days of the date of your invoice or acknowledgement if you believe any part of your order is missing, wrong, or damaged.

IV. Prices. The prices charged for Products and Services purchased under this Agreement shall be the amounts set forth on Coolskins website or other quotation. Quoted prices will remain in effect only until the expiration date of the quote or Coolskins acceptance of your order, and such prices are subject to shortages in materials or resources, increases in the cost of manufacturing, or other factors.

V. Returns and Exchanges. See Coolskins ‘Return Policy’.

  1. Proprietary Rights. All right, title, and interest in the intellectual property (including all copyrights, patents, trademarks, trade secrets, and trade dress) embodied in the Products and Materials, as well as the methods by which the Services are performed and the processes that make up the Services, shall belong solely and exclusively to Coolskins or the applicable suppliers or licensors, and you shall have no rights whatsoever in any of the above, except as expressly granted in this Agreement.
  2. Privacy. For information about Coolskins privacy practices, please read Coolskins ‘Privacy Policy’.
  3. Confidentiality. In connection with this Agreement, each party may have access to or be exposed to information of the other party that is not generally known to the public, such as software, product plans, pricing, marketing and sales information, customer lists, "know-how," or trade secrets, which may be designated as confidential or which, under the circumstances surrounding disclosure, ought to be treated as confidential (collectively, "Confidential Information" ). Confidential Information may not be shared with third parties unless such disclosure is to the receiving party's personnel, including employees, agents, and subcontractors, on a "need-to-know" basis in connection with this Agreement, so long as such personnel have agreed in writing to treat such Confidential Information under terms at least as restrictive as those herein. Each party agrees to take the necessary precautions to maintain the confidentiality of the other party's Confidential Information by using at least the same degree of care as such party employs with respect to its own Confidential Information of a similar nature, but in no case less than a commercially reasonable standard of care to maintain confidentiality.
  4. Force Majeure. Neither party shall be liable to the other for any failure to perform any of its obligations (except payment obligations) under this Agreement during any period in which such performance is delayed by circumstances beyond its reasonable control, such as fire, flood, war, embargo, strike, riot, or the intervention of any governmental authority (a "Force Majeure"). In such event, however, the delayed party must promptly provide the other party with written notice of the Force Majeure. The delayed party's time for performance will be excused for the duration of the Force Majeure, but if the Force Majeure event lasts longer than 30 days, then the other party may immediately terminate, in whole or in part, this Agreement or the applicable Service Agreement by giving written notice to the delayed party.
  5. Entire Agreement; Severability. This Agreement is the entire agreement between you and Coolskins with respect to its subject matter and supersedes all prior oral and written understandings, communications, or agreements between you and Coolskins. Any preprinted terms on your purchase order shall be given no force or effect and no terms of a purchase order that conflict with this Agreement shall be binding on Coolskins. No amendment to or modification of this Agreement, in whole or in part, will be valid or binding unless it is in writing and executed by authorized representatives of both parties. If any provision of this Agreement should be found to be void or unenforceable, such provision will be stricken or modified, but only to the extent necessary to comply with the law, and the remainder of this Agreement will remain in full force and will not be terminated.
  6. Updates. Coolskins reserves the right to update this Agreement at any time, effective upon posting an updated version at the website; however, your rights and obligations shall be as provided in the version of this Agreement executed by you or available to you at the time of your purchase of Products or Services.
  7. Governing Law. This Agreement, any related Service Agreement, and ANY CLAIM, DISPUTE, OR CONTROVERSY (WHETHER IN CONTRACT, TORT, OR OTHERWISE, INCLUDING STATUTORY, CONSUMER PROTECTION, COMMON LAW, INTENTIONAL TORT AND EQUITABLE CLAIMS) BETWEEN CUSTOMER AND COOLSKINS, including their affiliates, contractors, and agents, and each of their respective employees, directors, and officers arising from or relating to this Agreement, its interpretation, or the breach, termination or validity thereof, the relationships which result from this Agreement (including, to the full extent permitted by applicable law, relationships with third parties who are not signatories to this Agreement), Coolskins advertising, or any related purchase (a"Dispute" ) shall be governed by the laws of the Kingdom of Denmark, without regard to conflicts of law.
